KotobayaJPはShopifyにより運営されており、お客様にサービスを提供しています。ただし、お客様が当社のストアで行うすべての売買は、直接KotobayaJPとの間で行われます。サービスを利用することにより、お客様はShopifyがKotobayaJPとの間の売買のいかなる側面についても責任を負わないこと (購入した商品やサービスに起因する損害や傷害を含む) を認識し、同意するものとします。お客様は、KotobayaJPとの購入および取引に起因または関連するすべての請求、損害、および責任から、Shopifyおよびその関連会社を明示的に免責するものとします。
第10条 - プライバシーポリシー
当社がサービスを通じて収集するすべての個人情報は、当社のプライバシーポリシー (こちらからご覧いただけます：[LINK]) の対象となります。また、一部の個人情報は、Shopifyのプライバシーポリシー (こちらからご覧いただけます) の対象となる場合があります。サービスを利用することにより、お客様はこれらのプライバシーポリシーを読んだことを認めるものとします。
サービスはShopifyによってホストされているため、Shopifyはお客様のサービスへのアクセスおよび利用に関する個人情報を収集・処理し、お客様にサービスを提供・改善しています。お客様がサービスに提出する情報は、お客様の居住国以外に所在する可能性のあるShopifyおよび第三者と共有・送信され、お客様にサービスを提供するために使用されます。当社、Shopify、およびパートナーがどのようにお客様の個人情報を使用するかの詳細については、プライバシーポリシー (こちら：[LINK]) をご覧ください。
第11条 - フィードバック
お客様がアイデア、提案、フィードバック、レビュー、企画、計画、その他のコンテンツ (以下下総称して「フィードバック」) を提出、アップロード、投稿、メール送信、またはその他の方法で送信した場合、当社に対して、商業利用を含むあらゆる目的で、フィードバックを使用、複製、修正、公開、配布、表示するための永続的かつ全世界的、サブライセンス可能、ロイヤリティフリーのライセンスを付与したものとみなされます。たとえば、当社は本ライセンスに基づく権利を用いて、サービスの運営、提供、評価、強化、改善および宣伝を行い、本利用規約に基づく義務の履行および権利の行使をすることがあります。
お客様はまた、以下のことを表明および保証するものとします。(i) フィードバックに関するすべての権利を所有しているか、必要な権利をすべて有していること、(ii) フィードバックの提出に関連して受け取った報酬やインセンティブを開示していること、(iii) フィードバックが本利用規約に準拠していること。当社は以下の義務を負いません。(1) お客様のフィードバックを機密として保持する義務、(2) フィードバックに対して報酬を支払う義務、(3) フィードバックに返信する義務。
当社は、独自の裁量により、不法、攻撃的、脅迫的、中傷的、名誉毀損的、ポルノ的、わいせつ、またはその他不適切であると判断したフィードバックや、第三者の知的財産権または本利用規約に違反するフィードバックを監視、編集、削除する場合がありますが、その義務を負うものではありません。
お客様のフィードバックは、著作権、商標権、プライバシー権、パブリシティ権、その他の個人または所有権を含む第三者の権利を侵害しないことに同意するものとします。さらに、お客様のフィードバックが中傷的、またはその他違法、虐待的、わいせつな内容を含まないこと、ならびにサービスや関連ウェブサイトの運営に影響を及ぼす可能性のあるコンピュータウイルスやマルウェアを含まないことにも同意するものとします。虚偽のメールアドレスを使用したり、他人になりすましたり、フィードバックの出所について当社または第三者を誤解させるような行為を行ってはなりません。お客様は、ご自身が行うフィードバックおよびその正確性について、単独で責任を負うものとします。当社は、お客様または第三者によって投稿されたフィードバックについて、一切の責任を負わず、またいかなる法的責任も負いません。
第12条 - エラー、不正確な情報および記載の漏れ
サービス上またはサービス内には、商品説明、価格、プロモーション、オファー、配送料、配送所要時間、在庫状況などに関して、誤字脱字、不正確な情報、または記載漏れが含まれる場合があります。当社は、誤り、不正確な情報、または記載漏れを修正し、情報を変更・更新する権利、または情報に不正確な点があった場合には事前の通知なしに (ご注文後であっても) 注文をキャンセルする権利を留保します。
第13条 - 禁止事項
お客様は、サービスを合法的な目的のみにアクセスし、利用するものとします。お客様は、直接的または間接的に、以下の目的でサービスにアクセスまたは利用してはなりません。(a) 違法または悪意のある目的、(b) 国際法、連邦法、省法、州法、または地方条例の違反、(c) 当社または第三者の知的財産権の侵害または違反、(d) 当社従業員またはその他の人物に対する嫌がらせ、虐待、侮辱、名誉毀損、中傷、誹謗、威圧、またはその他の害、(e) 虚偽または誤解を招く情報の送信、(f) 本利用規約に準拠しない資料の送信、受信、アップロード、ダウンロード、使用、または再利用、(g) 広告や宣伝資料の送信や手配 (「迷惑メール」、「チェーンメール」、「スパム」その他類似の勧誘を含む)、(h) 他人または団体のなりすましまたはなりすましの試み、(i) サービスの利用または楽しみを制限・妨害する行為、またはKotobayaJP、Shopify、サービス利用者に害を及ぼす、もしくは責任を負わせる可能性のあると当社が判断する行為。
さらに、お客様は以下の行為を行わないことに同意します。(a) サービスの機能や運営に影響を及ぼす、または及ぼす可能性のあるウイルスやその他の悪意あるコードのアップロードまたは送信、(b) サービスの一部を複製、コピー、販売、再販売、または不正利用すること、(c) 他人の個人情報を収集または追跡すること、(d) スパム送信、フィッシング、ファーミング、不正な口実の使用、ウェブクローラーやスクレイピングを行うこと、(e) サービスや関連ウェブサイト、他のウェブサイト、インターネットのセキュリティ機能を妨害または回避すること。お客様が本利用規約のいかなる条項にも違反したと当社が判断した場合、当社は事前通知なしに、お客様のアカウントを一時停止、無効化、または終了する権利を有します。
第14条 - 契約終了
当社は、通知なくいつでも単独の裁量で本契約またはお客様のサービス (またはその一部) へのアクセスを終了することができ、終了日までのすべての未払い金についてお客様は責任を負うものとします。
以下の条項は、契約終了後も引き続き適用されます。知的財産権、フィードバック、契約終了、保証の免責、責任制限、補償、分離可能性、権利放棄、完全合意、譲渡、準拠法、プライバシーポリシー、および性質上、契約終了後も存続すべきその他の規定。
第15条 - 保証の免責
本サービス上または本サービスを通じて提供される情報は、あくまで一般的な情報提供のみを目的としています。当社は、本情報の正確性、完全性、有用性について保証いたしません。お客様が当該情報に依拠される場合、そのリスクは全てお客様ご自身の責任となります。当社は、お客様やその他の本サービス利用者、または本サービスの内容を知る第三者がこれらの資料に依存したことによって生じる一切の責任および義務を否認します。
KotobayaJPが明示的に述べている場合を除き、本サービスおよび本サービスを通じて提供されるすべての製品は、「現状のまま」かつ「利用可能な範囲で」提供されており、商品性、適合性、特定目的への適合性、耐久性、権利帰属、非侵害を含む、明示または黙示を問わず一切の表明、保証または条件を伴いません。当社は、お客様のサービスの利用が中断されず、タイムリーで、安全でエラーがないことを保証、表明、または保証しません。一部の法域では、黙示の保証またはその他の保証の免責を制限または認めていないため、上記の免責事項が適用されない場合があります。
第16条 - 責任の制限
法律で許される最大限の範囲において、いかなる場合も、KotobayaJPおよび当社のパートナー、取締役、役員、従業員、関連会社、代理人、契約者、サービス提供者、ライセンサー、ならびにShopifyおよびその関連会社は、お客様がサービスを利用したこと、またはサービスを通じて取得した製品の利用に起因する、またはそれに関連するいかなる傷害、損失、請求、直接的、間接的、偶発的、懲罰的、特別または結果的損害 (利益の損失、収益の減少、節約の喪失、データの損失、代替費用、またはこれらに類似する損害を含むがこれに限定されない) について、契約、不法行為 (過失を含む)、厳格責任その他の法理論に基づくか否かを問わず、一切責任を負わないものとします。また、サービスの利用やサービスを通じて投稿、送信、またはその他の方法で提供されたコンテンツ (または製品) に含まれる誤りや脱漏、またはこれらに関連して発生したいかなる損失や損害についても、たとえその可能性について事前に通知を受けていたとしても、責任を負いません。
第17条 - 補償義務
お客様は、KotobayaJP、Shopify、および当社の関連会社、パートナー、役員、取締役、従業員、代理人、契約者、ライセンサー、サービス提供者に対し、第三者に対して支払われる損失、損害、責任、または請求 (合理的な弁護士費用を含む) について、以下に起因または関連するすべてのものから補償し、防御し、かつ損害を被らせないことに同意するものとします。
(1) 本利用規約またはそれに組み込まれている文書の違反、
(2) 法律または第三者の権利の侵害、
(3) 本サービスへのアクセスまたはその利用。
当社は、補償の対象となるいかなる請求についてもお客様に通知します。ただし、速やかに通知を行わなかった場合でも、お客様が重大な不利益を被らない限り、その補償義務が免除されることはありません。当社は、当該請求に対する弁護および和解をお客様の費用負担で管理することができ、弁護士の選任も含まれます。ただし、お客様による金銭以外の義務を伴う和解については、お客様の同意なしにこれを行いません (ただし、その同意は不当に留保されないものとします)。お客様は、関連資料の提供を含め、補償対象となる請求の弁護に協力するものとします。
第18条 - 分離可能性
本利用規約のいずれかの条項が違法、無効、または執行不能であると判断された場合であっても、当該条項は、適用される法律で認められる最大限の範囲で引き続き効力を有するものとし、執行不能な部分は本利用規約から切り離されたものとみなされます。このような判断は、その他の残りの条項の有効性および執行可能性には影響を与えないものとします。
第19条 - 権利放棄および完全合意
当社が本利用規約のいかなる権利または規定を行使または執行しなかった場合でも、それによって当該権利または規定の放棄とはみなされません。
本利用規約および当社が本サイト上またはサービスに関して掲載するポリシーや運用規則は、お客様と当社との間の完全な合意および理解を構成し、サービスの利用に関するお客様と当社との間の過去または同時期のあらゆる合意、コミュニケーション、提案 (口頭または書面を問わず、過去の利用規約のバージョンを含みますがこれに限定されません) に優先して適用されます。
本利用規約の解釈におけるいかなる曖昧さも、作成者に不利に解釈されるものではありません。
第20条 - 譲渡
お客様は、当社の事前の書面による同意なしに、本契約または本利用規約に基づくお客様の権利または義務のいかなる委任、譲渡、移転も行うことはできません。そのような試みは無効とみなされます。当社は、お客様の同意や通知なしに、本利用規約および当社の権利義務を譲渡、移転、または委任することができます。
第21条 - 準拠法
本利用規約および当社が提供するサービスに関する別個の契約は、KotobayaJPの本社所在地の管轄にある連邦裁判所および州裁判所 (または準州裁判所) の法律に準拠し、これに従って解釈されるものとします。お客様およびKotobayaJPは、かかる裁判所における裁判地および個人的管轄権に同意するものとします。

本契約書に使用されている見出しは便宜上のものであり、本利用規約の解釈や適用に影響を与えるものではありません。
第23条 - 利用規約の変更
本ページにて、いつでも最新の利用規約をご確認いただけます。
当社は、単独の裁量により、本利用規約の一部または全部を更新、変更、または置き換える権利を有し、その更新や変更を当社のウェブサイトに掲載することで通知します。お客様は、当社ウェブサイトを定期的に確認し、変更内容を把握する責任があります。当社は、適用法に従い、本利用規約の重要な変更についてお客様に通知します。なお、その変更は通知に記載された日付より効力を有するものとします。本利用規約の変更が掲載された後もサービスの利用またはアクセスを継続することにより、お客様は当該変更を承諾したものとみなされます。
